2. Services Description
Verdiso provides the following services:
- CSRD Readiness Assessments: Professional evaluations of your organization's compliance readiness against Corporate Sustainability Reporting Directive (CSRD) and European Sustainability Reporting Standards (ESRS)
- Advisory Services: Strategic consultation on sustainability reporting, compliance frameworks, and implementation roadmaps
- Platform Access: Access to online tools, questionnaires, templates, and resources to support your CSRD compliance journey
- Free Resources: Access to publicly available guides, checklists, blog content, and educational materials
3. Engagement Terms
When you engage Verdiso for services:
- You will provide accurate and complete information about your organization
- You authorize Verdiso to conduct necessary research and analysis
- You agree to cooperate with our team and provide timely responses to requests
- Verdiso will deliver services in accordance with the agreed scope of work and timeline
- All services are provided on a professional basis and are subject to a formal engagement agreement or statement of work
4. Payment Terms
Unless otherwise specified in a written engagement letter:
- CSRD Readiness Assessments: Starting from €2,500 (pricing varies by company size and scope)
- Advisory Services: Custom pricing based on scope of work and resource requirements
- Invoices are issued upon project initiation or completion, as specified in your engagement agreement
- Payment is due within 30 days of invoice date, unless alternative terms are agreed in writing
- Late payments may result in suspension of services and accrual of interest at the legal rate
- All fees are exclusive of applicable VAT and other statutory charges
5. Intellectual Property
Verdiso retains ownership of:
- All methodology, frameworks, templates, and tools developed by Verdiso
- Pre-existing intellectual property and materials
- All work product and reports prepared for you, which remain Verdiso's property unless explicitly transferred in writing
You grant Verdiso the right to use anonymized information and insights from your engagement for improving our services and developing industry benchmarks, provided confidentiality is maintained.
You retain ownership of your organization's data and information provided during our engagement.
6. Limitation of Liability
To the maximum extent permitted by law:
- Verdiso's total liability for any claims arising from these Terms or your use of our services shall not exceed the amount paid by you for the specific service in question in the 12 months preceding the claim
- Verdiso shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity
- These limitations apply even if Verdiso has been advised of the possibility of such damages
Verdiso's assessments and advice are provided for informational purposes and based on information available at the time. They do not constitute legal, financial, or professional advice. You should consult with qualified professionals regarding your specific circumstances.
7. Confidentiality
Both parties agree to:
- Maintain confidentiality of non-public information shared during the engagement
- Use confidential information only for the purpose of delivering services under these Terms
- Implement reasonable measures to protect confidential information from unauthorized access or disclosure
Confidentiality obligations do not apply to information that is: (a) publicly available; (b) already known to the receiving party; (c) independently developed; or (d) required to be disclosed by law or court order.
8. Term and Termination
These Terms commence on the date you first use our services and continue until terminated:
- Either party may terminate a specific engagement with written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days
- Upon termination, you remain responsible for all fees for services already provided
- Termination does not relieve you of payment obligations or affect confidentiality or intellectual property provisions
9. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.
Any disputes arising from these Terms shall be:
- First subject to good-faith negotiation between the parties
- If negotiation fails, settled by mediation or arbitration under Belgian law and applicable EU regulations
- Both parties agree to exclusive jurisdiction of the competent courts in Belgium if legal proceedings become necessary
10. Amendments and Changes
Verdiso reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our services constitutes acceptance of modified Terms. If you do not agree to changes, please discontinue use of our services.
11. Disclaimer of Warranties
Our services are provided on an "as-is" basis. Verdiso makes no warranties, express or implied, regarding:
- Fitness of services for a particular purpose
- Accuracy or completeness of information provided
- Uninterrupted or error-free operation of tools and platforms
- Results or outcomes of implementing recommendations
CSRD regulations and requirements are subject to change. Verdiso does not guarantee that advice or assessments will remain current if regulatory changes occur after service delivery.

Our website may contain links to third-party websites and resources. Verdiso:
- Does not endorse or control third-party content
- Is not responsible for availability or accuracy of third-party websites
- Disclaims liability for any damages arising from third-party content or links
13. Acceptable Use
When using Verdiso services and platform, you agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of Verdiso or others
- Engage in unauthorized access or disruption of systems
- Transmit malware, viruses, or harmful code
- Harass, threaten, or defame any person or organization
- Engage in fraudulent, misleading, or unethical conduct

15. Severability
